2013 Disney Annual Meeting of Shareholders

It's that time of year again when shareholders of the Walt Disney Company gather to cast their votes for the future of corporate governance. With the current stock at an all time high, and dividends better than ever, attendees can expect a positive outlook despite the overall economy. The annual meeting of shareholders of The Walt Disney Company, is being held on March 6th, 2013 at the Orpheum Theatre in Phoenix, Arizona.

The items of business on the agenda that the Board of Directors advises to vote "for" are:

1. Election of the 10 nominated Directors: Aylwin B. Lewis, Monica C. Lozano, Robert W. Matschullat, Sheryl K. Sandberg, Orin C. Smith, Susan E. Arnold, John S. Chen, Judith L. Estrin, Robert A. Iger, and Fred H. Langhammer, each for a term of one year.
2. Ratification of the appointment of PricewaterhouseCoopers LLP as the Company's independent registered public accountants for fiscal 2013.
3. Approval of the terms of the Company's Amended and Restated 2002 Executive Performance Plan, as amended.
4. Consideration of an advisory vote to approve executive compensation to reflect performance-based compensation categories in line with the company's overall growth.

The items of business on the agenda that the Board of Directors advises to vote "against " are the two shareholder proposals set forth by two different investment management plans:

1. A "proxy access" bylaw in which shareholders could nominate independent board member candidates who meet certain criteria.
2. The future separation of the chairman of the board and chief executive officer positions, except for in "extraordinary circumstances" and never more than 6 months.

Proxy Statements were mailed to all shareholders back in January for their review.
